Purpose
To serve as a member of the managing fiduciary body of CDA Holding Company, Inc. (CDAHCI), vested with the purpose of holding the shares of each of the subsidiary companies, elects the subsidiary boards of directors and receiving dividends. CDAHCI shall establish policies and procedures for the administration of CDAHCI and the subsidiary companies.
Term
One-year term with eligibility to serve a maximum of six years, in addition to any portion of a term appointed to by the board.
Expected Meeting Attendance
Participation in the following meetings is expected:
♦ Board meeting held on weekdays.
♦ Occasional conference calls required to conduct business in between board meetings.
